Restaurant Partner Agreement
This agreement is between your business ("the restaurant", "you") and AIIBLUE TECHNOLOGIES PRIVATE LIMITED ("OonDrop", "we", "us"), which runs the OonDrop platform (CIN U72900TN2023PTC158287; registered office: No. 31A, Ground Floor, Dr. Seethapathy Nagar, 100 Feet Taramani Link Road, Chennai City Corporation, Chennai, Tamil Nadu 600042, India). It applies when you register in the OonDrop restaurant console and while your restaurant is listed.
By registering you agree to this agreement and to the Restaurant Privacy Policy.
1. What OonDrop does
OonDrop lists your restaurant and menu in the OonDrop app and website, takes orders and payments from customers, and arranges delivery by OonDrop delivery partners (or pickup by the customer). You prepare and pack the food; you remain the seller of the food and responsible for it.
2. Joining and staying listed
- You must hold a valid FSSAI licence or registration for the outlet, and GST registration where required, and keep them valid. OonDrop shows your FSSAI licence number to customers on your restaurant page, as the FSSAI rules for food e-commerce require.
- OonDrop checks your documents and carries out a food safety audit with a score before you go live, and may repeat it. A restaurant that fails the audit is not listed until the issues are fixed.
- You give true details about the business, the owner, the outlet address, opening hours and bank account, and keep them up to date in the console.
3. Menu, prices and food
- Your menu, prices, photos, food type (veg or non-veg), allergens you know of and portion sizes must be accurate. Menu changes are checked by OonDrop before customers see them.
- Prices on OonDrop must include the food GST you charge, as the console shows.
- Prepare food hygienically, pack it in sealed, spill-proof packaging, and hand it over only to the OonDrop delivery partner assigned to the order or to the customer for a pickup order.
4. Taking orders
- Accept or reject each order quickly. If you do not answer, OonDrop may accept it for you after the time set in the console (today 60 seconds), and you must then prepare it.
- When you cannot take an order, choose a rejection reason; when you are busy, pause new orders. Too many rejections may lower your listing or lead to a review.
- Mark the order ready on time so the delivery partner does not wait.
5. Commission, fees and payouts
- OonDrop charges a commission on the food value of each order, set by your restaurant's ownership type: today 3% for restaurants owned by the AiiBlue group, 10% for franchise and rented outlets, unless your signed commercial terms say otherwise. Pickup orders may have a lower commission (today 5%). GST is added to the commission.
- Customer delivery fees, platform fees and tips are not part of your earnings: delivery fees and platform fees are OonDrop's, and tips go to the delivery partner.
- Your earnings for each delivered order (food value less commission, GST on commission and any agreed charges) are added to your restaurant wallet. You request a payout in the console and OonDrop pays it to your bank account.
- OonDrop sends you statements of orders, commission and payouts.
6. Cancellations and refunds
- If you reject an order, or cancel after accepting, you are not paid for it.
- If a customer reports a missing or wrong item, or food that is unfit, and OonDrop refunds the customer, the refund may be recovered from your earnings when the fault is the restaurant's. You can respond through the support chat before a recovery.
- If the customer cancels after you started preparing, or the delivery fails for reasons that are not yours, you are paid as set out in OonDrop's cancellation rules shown in the console.
7. Customer data
You receive only what you need to prepare and hand over an order. While masked calls are on, customers' phone numbers are hidden and you call through OonDrop's number. You must not copy, keep or use customer details for marketing or anything other than the order.
8. Content and brand
You let OonDrop show your restaurant name, logo, photos and menu in the app, website and promotions for OonDrop. You confirm you have the right to the content you upload.
9. Pausing or ending the listing
- OonDrop may pause your listing for food safety concerns, an expired licence, repeated complaints or breaches of this agreement, and will tell you the reason.
- Either side may end this agreement with notice as set in your commercial terms. Amounts owed to you are paid after pending orders, refunds and recoveries are settled.
10. Liability
You are responsible for the food you prepare, its safety and labelling, and claims arising from it. OonDrop is responsible for running the platform with reasonable care.
11. Complaints
Use the support chat in the console first. If you are not satisfied, contact our Grievance Officer (see the Grievance Redressal and Contact page). We acknowledge a complaint within 24 hours and resolve it within 15 days.
12. Changes and law
We may update this agreement; the console shows the new version and asks you to agree. This agreement is governed by the laws of India, and courts at Chennai, Tamil Nadu have jurisdiction.
